1. The agreement
These terms are the agreement between Textually and the business that uses it (you). They include the Messaging Terms, which cover consent, lists, content and opt-outs. By creating a workspace or using Textually, you accept both on behalf of your business.
2. Who can use Textually
Textually is for businesses and organisations, not personal use. We review every application and may decline one. You give accurate details, keep your sign-in secure and are responsible for everything done in your workspace by your team.
3. The service
Textually lets you send multi-step text sequences and one-off campaigns to numbers in the United States and Canada, from numbers we register for you with the carriers, and answer replies in a shared inbox. We may improve or change features; when a change removes something you rely on, we tell you in advance.
4. Your responsibilities
You text only people who agreed to hear from your business, keep a record of that consent, honour opt-outs, and follow the laws and carrier rules that apply to your messages, including the TCPA, CASL and the carriers’ messaging guidelines. The Messaging Terms set this out in full.
You give true and complete details for carrier registration and keep them up to date.
5. Plans and charges
Prices are in US dollars and shown on our pricing page. The platform fee and each phone number are billed monthly. Texts are bought in advance in the amounts shown on our pricing page; one text is one message segment sent to a US or Canadian number, and replies you receive are free. Texts you buy can be used for 12 months from the day you bought them, after which any left expire. If you turn on automatic buying, you authorize us to charge your saved card for the amount you chose each time your texts fall below the number you set. Carrier registration and other carrier fees are charged at cost. Taxes are added where they apply.
If you hold a founding price, your platform fee stays at that price for your first 12 months from the day your first number goes live, even if our prices change. After that it moves to the standard price in force at that time, and we email you at least 30 days before it changes. Founding prices are offered to the first 1,000 teams only.
The platform fee and your numbers are billed from the day your first number goes live. Texts are used for sending and phone type checks only and have no cash value. Fees already charged and texts already bought are not refunded except where the law requires it or we agree in writing.
6. Pausing and suspension
We may pause sending, a campaign or a workspace without notice when a carrier asks us to, when opt-out or complaint rates suggest texting without consent, when content breaks the Messaging Terms, or when we need to protect your numbers, other customers or the carriers’ networks. We tell you why and what will let sending resume.
7. Your data
Your lists, contacts and messages belong to you. We use them only to provide Textually, as described in our Privacy Policy, and you can export them at any time while your workspace is open.
8. Carriers and delivery
Texts travel over carrier networks we do not control. Carriers may filter, delay or block messages and may change their rules or fees. We register your numbers and follow carrier rules, but we cannot guarantee that every text is delivered.
9. Warranties and liability
Textually is provided as is. To the extent the law allows, we are not liable for indirect or consequential losses, lost profits or lost data, and our total liability in any year is limited to the amounts you paid us in the twelve months before the claim.
10. Claims about your messages
You are responsible for the messages you send and the consent behind them. You will defend and indemnify Textually against claims, fines, carrier penalties and costs that arise from your messages, your lists or a breach of these terms or the Messaging Terms.
11. Ending the agreement
You can close your workspace at any time; your platform fee and numbers end at the end of the billing month. We can end the agreement for a serious breach, or with 30 days’ notice for any other reason. After closing, you have 30 days to export your data; it is deleted within 90 days.
12. Changes and contact
We may update these terms; the version date above shows the latest, and we email customers before a material change takes effect. Questions: hello@usetextually.com.
